Welcome
to the Florida LLC Resource Center. The Center has been created to
provide basic limited liability company information and resources
for professional advisers and for businesses and individuals who wish
to consider using a Florida Limited Liability Company as their preferred
business or asset protection entity and to discover some of the benefits
of the recently enacted, "state of the art" Florida Limited Liability
Company Act which became effective on October 1, 1999.
While Florida was one of the first states to enact legislation permitting
the organization of a limited liability company, due to an unfavorable,
out of date Florida tax law and an out of date limited liability company
law, the use of the Florida LLC languished.
Now all of that is changed with the:
· Enactment of a modern, "state of the art" Limited Liability Company
Act in 1999,
· Repeal of unfavorable Florida tax treatment,
· Full integration of the Florida LLC with Federal income taxation
The Florida LLC is a creative and flexible entity of choice to take
advantage of living and doing business in Florida and our beneficial
tax and business laws (even if you are not a Florida resident or your
business is not based in Florida).
The Florida LLC Resource Center will be updated to provide additional
information and resources for you. For example, the current Limited
Liability Company Overview and Entity Comparison Chart areas provide
some of the information recently presented at the 20th Annual Accounting
Conference sponsored by the University of Central Florida in May,
2001.
